Terms and Conditions of Service

1. Acceptance of Terms

By accessing or using soaWhat's SOA transaction processing services, telecommunications infrastructure, or related platforms, you agree to be legally bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Service Description

soaWhat provides enterprise-grade SOA transaction processing, NPAC connectivity, SMS/800 database management, number portability services, and telecommunications infrastructure solutions. Our services are designed for CLECs, IPES providers, and telecommunications companies requiring mission-critical network operations.

3. Service Level Agreement

We commit to maintaining 99.99% uptime for our core SOA transaction processing services. Planned maintenance will be scheduled during off-peak hours with advance notice. Service credits may apply for verified downtime exceeding our SLA commitments as outlined in your service agreement.

4. User Responsibilities and Conduct

You must use our services in compliance with all applicable telecommunications regulations, FCC requirements, and industry standards. You are responsible for maintaining the security of your access credentials, implementing proper network security measures, and ensuring your SOA transactions comply with NPAC and iconectiv requirements.

5. Data Protection and Privacy

Your use of our services is governed by our Privacy Policy and data processing agreements. We implement industry-standard security measures to protect telecommunications data, including encryption of SOA transactions and secure API access. Customer data remains confidential and is processed solely for service delivery purposes.

6. Intellectual Property Rights

All proprietary software, documentation, APIs, and technical specifications provided by soaWhat remain our exclusive intellectual property. You may not reverse engineer, redistribute, or create derivative works from our systems. Customer data and configurations remain your property.

7. Regulatory Compliance

Both parties must comply with all applicable telecommunications regulations, including but not limited to FCC rules, NANPA guidelines, and iconectiv requirements. We provide compliance tools and reporting features, but ultimate regulatory compliance responsibility remains with the customer.

8. Service Limitations and Restrictions

Our services are intended for legitimate telecommunications business purposes only. Prohibited uses include fraudulent activities, unauthorized access attempts, excessive API calls beyond agreed limits, or any activities that could compromise network security or regulatory compliance.

9. Limitation of Liability

Our liability for service interruptions, data processing errors, or other service-related issues is limited to service credits as specified in your service agreement. We are not liable for indirect damages, lost profits, or consequential damages arising from service use, except where prohibited by law.

10. Indemnification

You agree to indemnify soaWhat against claims arising from your use of our services, violation of these terms, or non-compliance with telecommunications regulations. This includes reasonable attorney fees and costs associated with defending such claims.

11. Service Termination

Either party may terminate services with 30 days written notice. We may immediately suspend services for non-payment, security breaches, or violations of these terms. Upon termination, you retain access to your data for 90 days for migration purposes.

12. Force Majeure

Neither party is liable for service delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, telecommunications carrier failures, or other force majeure events affecting service delivery.

13. Governing Law and Dispute Resolution
